Terms of Service

1. Acceptance of Terms

By accessing or using the ControlDesk platform ("Service"), operated by Deteqted Pty Ltd ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.

2. Service Description

ControlDesk is a Software-as-a-Service (SaaS) platform providing governance, risk, and compliance (GRC) management capabilities including vendor risk assessments, privacy impact assessments, compliance tracking, incident management, and related features. The Service is provided on a subscription basis.

3. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and complete registration information.
  • You are responsible for all activities that occur under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • Account access is governed by role-based permissions set by your organisation's administrator.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Attempt to gain unauthorised access to other accounts, systems, or networks
  • Upload malicious code, viruses, or harmful data to the platform
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to store or transmit content that infringes on intellectual property rights

5. Data Ownership

You retain all rights to data you input into the Service ("Customer Data"). We do not claim ownership of Customer Data. We are granted a limited licence to process Customer Data solely for the purpose of providing the Service. Upon termination, you may request export of your Customer Data within 30 days.

6. Service Level Agreement

  • Availability: We target 99.9% uptime for the Service, excluding scheduled maintenance.
  • Maintenance: Scheduled maintenance will be communicated at least 48 hours in advance.
  • Support: Support is available via email during Australian business hours (AEST/AEDT).
  • Data Backup: Customer Data is backed up daily with 30-day retention.

7. Subscription and Payment

  • Subscriptions are billed monthly or annually as selected at the time of purchase.
  • All prices are in Australian Dollars (AUD) and exclusive of GST unless stated otherwise.
  • Subscription fees are non-refundable except as required by Australian Consumer Law.
  • We reserve the right to modify pricing with 30 days' written notice.
  • Failure to pay may result in suspension or termination of access.

8. AI-Generated Content

The Service includes AI-powered features that generate risk assessments, analyses, and recommendations. AI-generated content is provided as a decision-support tool and should not be relied upon as the sole basis for compliance, legal, or business decisions. You are responsible for reviewing and validating all AI-generated outputs.

9. Intellectual Property

The Service, including its source code, design, features, documentation, and branding, is the intellectual property of Deteqted Pty Ltd. You are granted a non-exclusive, non-transferable, revocable licence to use the Service for the duration of your subscription.

10. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim. Nothing in these terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

11. Termination

Either party may terminate the subscription with 30 days' written notice. We may suspend or terminate access immediately for material breach of these terms. Upon termination, your right to access the Service ceases. You may request data export within 30 days of termination, after which Customer Data will be securely deleted.

12. Governing Law

These terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the modified terms.
